BOI: FinCEN Announces No Penalties for Non-Compliance

It has been a week since the last update on beneficial ownership information (BOI) reporting requirements, which means that, naturally, things have changed again in the meantime.

On February 27, 2025, the Financial Crimes Enforcement Network (FinCEN) announced that companies who do not comply with BOI reporting requirements imposed by the Corporate Transparency Act (CTA) will not be issued fines or receive any other forms of punishment.  FinCEN stated that the announcement "continues the Treasury's commitment to reducing regulatory burden on businesses."

In the same announcement, FinCEN stated that it will issue an interim final rule before March 21 that extends BOI reporting deadlines that balance the interests of clarity for businesses and law enforcement objectives.  FinCEN also stated that it would solicit public comment on potential revisions to existing BOI reporting requirements.
